BY SIGNING UP FOR THE AERIALS.AI AFFILIATE & REFERRAL PROGRAM (“Program”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“Agreement”). YOU HEREBY AGREE THAT YOU HAVE READ AND UNDERSTOOD ALL THE CLAUSES OF THIS AGREEMENT AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS HEREIN.

YOU (“You”, “Affiliate”, or “Referrer”) AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU, AND THIS AGREEMENT IS ENFORCEABLE AGAINST YOU.

This is a legal agreement between you (either an individual or a legal entity), and Aerials Solutions LLC d/b/a Aerials.ai (“Aerials.ai”, “we”, “us” and “our”). This Agreement outlines the rules and regulations of the Program.

By clicking the button “Sign up” or participating in this Program, you represent that you are over 18 years old and agree to the terms of our Privacy Policy and this Agreement. If you are acting on behalf of a company, you declare that you are authorized to act on behalf of that company.

1. Eligibility

• Must be an active Aerials.ai customer or have an active account.
• One affiliate/referral account per person.
• Program participation is void where prohibited by law.

2. How the Program Works

• Share your unique referral link.
• When a new customer signs up through your link (“Referred Customer”):
  • The Referred Customer receives 5 free credits.
  • The Referrer receives 5 free credits once the Referred Customer completes signup.
• Aerials.ai may, at its discretion, offer monetary commission payments instead of or in addition to credits in the future. These will be governed by this same Agreement unless otherwise specified.

3. Rewards, Commissions, and Payments

• Credits: Credits have no cash value, are non-transferable, and may only be redeemed within Aerials.ai for available services.
• Monetary Commission: If Aerials.ai transitions to or adds cash payouts, commission will be based on the subscription or service revenue from Referred Customers.
• Payouts (cash or credits) are only valid for genuine, bona fide referrals.
• Commissions and/or credits are void in cases of: self-referrals, fraudulent signups, cancellations, or chargebacks.
• Aerials.ai reserves the right to withhold or adjust payouts in cases of fraud, abuse, or error.

4. Restrictions

• No self-referrals or creating fake accounts.
• Referral links may not be promoted via paid advertising, spam, or misleading tactics.
• No bidding on “Aerials.ai” brand terms in paid search campaigns.
• Referrals must be made on an arm’s length basis.

5. Compliance

• Affiliates must comply with all applicable laws, including FTC guidelines and anti-spam regulations (e.g. CAN-SPAM Act, GDPR).

6. Termination

• Aerials.ai may suspend or terminate participation at any time, with or without cause.
• Violations of these terms result in forfeiture of pending credits or commissions.

7. Liability

• Aerials.ai is not responsible for tracking failures, lost data, or technical errors.
• Our liability under this Agreement is limited to the total rewards (credits or commissions) paid to you in the 6 months preceding any claim.

8. Relationship of Parties

• Affiliates are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.

9. Changes to Program

• Aerials.ai may modify or terminate this Program at any time.
• Continued participation after updates constitutes acceptance of the new terms.

10. Governing Law

• This Agreement is governed by the laws of the State of Maryland, United States.

11. Dispute Resolution

• Disputes will first be attempted to be resolved through good-faith discussion.
• If unresolved, disputes will be submitted to confidential binding arbitration under the rules of the American Arbitration Association.

12. Entire Agreement

• This Agreement constitutes the entire agreement regarding the Aerials.ai Affiliate & Referral Program and supersedes any prior agreements.
