Welcome to aerials.ai (the "Site"), an online platform operated by Aerial Solutions II, LLC, a Maryland limited liability company doing business as aerials.ai ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Site, our mapping tools, AI‑powered services, memberships, and any related applications, content, or features (collectively, the "Services").

By accessing or using any part of the Services, you agree to be bound by these Terms and our [Privacy Policy]. If you do not agree, you must not access or use the Services.

1. Eligibility & Scope

1. You must be at least 18 years old and capable of forming a binding contract to use the Services.
2. If you access the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

We may modify these Terms at any time. If we make material changes, we will post the updated Terms and revise the "Last updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

3. Account Registration & Security

• Interactive Mapping Tools that allow users to view or draw property lines, toggle 3D terrain, and export images.
• AI Voiceover & Media Creation Tools that transform text into voiceovers or generate other AI‑assisted content.
• Membership Programs providing access to premium features, file submissions, or add‑ons such as 3D land showcases.

We may add, modify, or remove features at any time without liability.

4.1 Informational Purposes Only

Boundary lines, parcel data, and other mapping outputs are approximate and provided for informational purposes only. They do not constitute legal surveys, appraisals, or professional advice. Always verify information with official sources before making real‑estate or financial decisions.

5. Fees, Billing & Taxes

1. Certain Services require payment of fees disclosed at the point of purchase (e.g., subscription plans, per‑project fees, add‑ons).
2. All fees are stated and payable in U.S. dollars unless otherwise indicated and are non‑refundable except as expressly set forth in these Terms or required by law.
3. You authorize us (and our payment processors) to charge your selected payment method for all applicable fees, including recurring charges for subscriptions.
4. You are responsible for all taxes, levies, or duties imposed by taxing authorities.

6. License & Intellectual Property

1. Our Content. We own all right, title, and interest in the Site, Services, and related content (excluding User Content). We grant you a limited, non‑exclusive, non‑transferable license to access and use the Services for their intended purpose.
2. User Content. You retain ownership of content you submit but grant us a worldwide, royalty‑free license to host, reproduce, and display that content to operate the Services, as well as showcase in product demos or marketing channels unless you opt-out at any time by emailing support at hello@aerials.ai.
3. You must not reverse‑engineer, copy, or exploit any portion of the Services except as permitted by these Terms.

7. Prohibited Conduct

You agree not to:

• Use the Services for unlawful, fraudulent, or misleading purposes.
• Upload content that infringes intellectual‑property or privacy rights.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to accounts, systems, or networks.

8. Third‑Party Services & Links

The Services may integrate or link to third‑party platforms (e.g., payment processors, AI models, data providers). We are not responsible for third‑party content or services and your use of them is at your own risk.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, UNINTERRUPTED, OR MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Company and its affiliates from any claims, damages, or liabilities arising out of your (a) use of the Services, (b) User Content, or (c) violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to us or other users. Upon termination, your right to use the Services will cease immediately.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to conflict‑of‑law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Baltimore County, Maryland, unless we elect arbitration pursuant to the Federal Arbitration Act.

14. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.
• Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent.
• Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
